Grant units to a beneficiary

Granting means giving a person a number of units of a plan, with "Add Beneficiary" in "Incentive Plans", which opens the "Add Beneficiary to the incentive plan" dialog: the beneficiary, the plan, the grant date, the units and the invitation date. The grant inherits the plan's conditions, unless you change them for that person, and Sttok can send them the invitation letter to sign.

Before you start

  • A plan already created, with units available. How to create a plan.
  • The person's details: name, email and ID document.
  • The grant figures: units, grant date and invitation date.

What a grant is#

A person can be in several plans, and a plan has many people. What links the two is the grant: this beneficiary, in this plan, with these units and this date. Each grant has its own schedule, its invitation letter and its documents.

How to do it#

  1. Open the form. In the Incentive Plans menu, go to "Plans list". On the "Incentive Plans" screen, click "Add Beneficiary". The "Add Beneficiary to the incentive plan" dialog opens.
  2. Choose the person and the plan. In "Select beneficiary" search for them by name or ID document. In "Select incentive plan", the plan you are granting units from.
  3. Decide whether their conditions are the plan's. By default, the grant inherits the plan's conditions: exercise price and schedule. If this person is entitled to different ones, tick "Edit conditions for this beneficiary" and change them.
  4. Enter the "Plan grant date to the Beneficiary". It is the date that starts their vesting schedule.
  5. Enter the "Units granted to the Beneficiary". Below, "Maximum units available" tells you how many are left in the plan.
  6. Attach the deed, if there is one. In "Add deed (optional)", drag the document or click "Choose". Up to 50 MB.
  7. Enter the "Invitation date" and decide whether to send it now. Tick "Send invitation letter to this Beneficiary" for Sttok to send them the email with the letter, which they sign with DocuSign. If you don't tick it, you can send it later, also from the Signatures module. If the plan was created with "Generate Conditions Template", Sttok generates this person's conditions from the plan's template and manages their acceptance: this is their invitation letter.
  8. Click "Add to incentive plan".

What happens next#

  • If you sent the letter, the beneficiary receives the invitation. It has two tabs: "Plan details", with the conditions, and "Schedule", with the dates on which each tranche will vest.
  • The grant appears in the plan's list of beneficiaries, with its "Invitation" column showing pending until they accept it.
  • While there are unsigned letters, the pool summary flags it with "Invitation letters pending signature".
  • The units move from available to granted in the plan and in the pool.
  • The grant's "% Vested" advances on its own, following the schedule.

The menu on each row has "View", "Certificate", "Edit conditions", "Edit beneficiary", "Edit letter status", "Duplicate", "Cancel" and "Delete".

  • Cancel records that the grant no longer continues, for example because the person has left. It is the normal choice when something has changed.
  • Delete removes it as if it had never existed. Use it only to correct a mistake, such as a duplicated grant.
  • Edit letter status is for reflecting a letter signed outside Sttok, on paper for example.

Frequently asked questions#

What grant date should I enter?

The one stated in the resolution or the letter. If a person joined months ago and you give them the plan now with effect from when they joined, that joining date is the grant date, and their schedule will take it into account.

Can I give someone more units later on?

Yes. A new grant is a new grant record, with its own date and its own schedule, in the same plan or in another one.

Can the beneficiary see other people's units?

No. Each beneficiary sees only their own profile: their plans, their schedule and their documents.
