Simulate an operation before registering it

In "Operations Simulator" you can try out a capital increase, a capital reduction or a sale and purchase on today's share capital without registering anything. You see the price per share, the dilution, the amount and what the register of registered shares would look like, and you can chain several operations, each one on the result of the previous one.

The key point. A simulation doesn't touch the register of registered shares. It is calculated on today's register and stays as a draft until you delete it. When the operation is actually signed, it is registered separately, from Transactions.

The simulations#

In the menu, open "Operations Simulator" › "Simulations". The screen shows how many simulations there are, how many operations they add up to, the last edit and "Today's capital", in issued shares. Each row is a simulation, with the new shares, the shares there would be at the end, the capital raised and the date it was edited.

Create a simulation#

  1. Click "New simulation".
  2. Choose which operation you want to simulate. "Capital increase" (new shares come in: price, dilution and what the share capital looks like), "Capital reduction" (shares are cancelled or the nominal value goes down: what is returned) or "Sale and Purchase" (shares that change hands: numbering, implied valuation and exit clauses).
  3. Give it a "Name" and click "Create and open".

Simulate a capital increase#

The simulation opens at its first step, "Step 1 · Capital increase", on today's register.

  1. Enter the "Pre-money valuation". The price per share comes from dividing it among the issued shares. Sttok shows the post-money, the price per share (nominal value plus premium), the new shares, the dilution on the % ND and the amount.
  2. Add the investors. In "Investors in the capital increase", click "+ Add investor" and enter what each one contributes. The table shows their contribution, their new shares and their % ND after the operation.
  3. See what the register looks like. Below, "Shareholder Register" projects the result, with the percentages and one column per class. With "View" you see it as "Equity story", "Summary", "Detailed summary" or "Summary with contributions".
  4. Click "Save". The simulation is saved as a draft. "Back" leaves without saving the changes.

Simulate a capital reduction or a sale and purchase#

They work the same way: you enter the valuation, who takes part and the amounts, and Sttok works out what the register of registered shares would look like. In a capital reduction, whose shares are cancelled and how much is returned to them; in a sale and purchase, who sells, who buys and at what price. As with the capital increase, the result is saved as a draft with "Save".

Chain operations#

A simulation can have several steps. "+ Add operation" adds another one, which is calculated on the result of the previous step: for example, a capital increase and then the sale of part of those shares. Each step appears at the top with what it adds, and "Result" shows the shares at the end of the chain. A step has its "Name and date" and is removed with "Remove this step".

Frequently asked questions#

Does a simulation change the register or notify the shareholders?

No. It doesn't register anything and doesn't send any email.

Can I download the result?

Yes. The simulation's tables and the list of simulations have "Download".

The operation has already been signed. How do I take it to the register?

Register it from Transactions, with "Add Operation". This is explained in Register a share capital increase and Register a share transfer (sale and purchase).
