The register of registered shares
Sttok's register of registered shares is the complete record of who holds shares in the company, of which class and in what percentage. It is not edited: it builds itself from the recorded operations, and it can be read in several views, from the summary by class to the history of each operation.
On this page
The essentials. The register of registered shares is not filled in by hand. Every operation you record (a capital increase, a share transfer, an inheritance) updates it. If the register does not add up, what you need to review are the operations.
What it is#
Every company with shares must keep a record of who holds each share. In a limited liability company (S.L.) it is called the register of members and what is recorded are participations, not shares; in Sttok it works the same way. In Sttok that record is the "Shareholder Register", in the Shareholders group of the menu.
The shareholder list is for working with each shareholder; the register is the record, with all their shares by class. It has a search box and is paginated, and the TOTAL row always adds up the whole register.
The views of the register#
The "View" selector changes how you read the same data:
| View | What it shows |
|---|---|
| Detailed summary | The default view. One row per shareholder and one column per share class, with the total and the three percentages. |
| Equity story | The history: one column per operation, from incorporation to today, with what each person held after each one. |
| Commercial Registry | What the registry requires for each shareholder: name, tax identification number, nationality, registered address, shares, percentage, numbering with its class and the encumbrances. |
| Summary | One row per shareholder, one column per class and the total number of shares, without percentages. |
| Summary with contributions | The summary with the % ND and what each shareholder contributed: "Accumulated Nominal Value", "Accumulated Premium" and "Accumulated Total". |
How to read the detailed summary#
- One column per class. The classes are the ones the company has: if it has ordinary shares and two preferred classes, you will see three columns, plus each shareholder's total number of shares.
- Three percentages. % ND, over the shares that exist today; % Act.D, with current dilution; and % FD, fully diluted, as if everything that can convert into shares had already converted. Each one with its number of shares next to it.
- Convertible instruments, separately. Below the shareholders come the rows for options, incentive plans and convertible notes, with what is allocated, what is unallocated and what is in force. They are not shareholders, so they have no % ND: they only count in the diluted percentages.
- The TOTAL row, fixed at the bottom, adds up each column.
The Equity story view#
It is the history of the share capital told operation by operation. Each column is an operation, with its date, and shows where each shareholder stood after it. That is why it also includes people who are no longer shareholders: the history covers everyone who ever held shares, not just today's shareholders.
With many operations the view becomes very wide. It is mainly useful for answering questions such as "how many shares did this person hold before the 2024 capital increase?".
Frequently asked questions#
Can I correct a figure directly in the register?
No. The register is built from the operations. If a figure is wrong, correct or record the operation that produces it. We explain this in Correct a registered operation.
Why does the sum of % FD not match the sum of % ND?
Because % FD spreads the share capital over more shares: today's shares and those that could come to exist. Shareholders' percentages go down and the difference is what corresponds to options, plans and notes.
Does someone who sold all their shares appear here?
In the detailed summary, no: only current shareholders. In the Equity story view, yes, because it covers the whole history.
Can I download the register?
Yes. Choose the view you need and click "Download Table", at the top, next to the "View" selector. It can be downloaded in Excel or PDF.

- The shareholder list The shareholder list shows who holds shares in the company, how many and what percentage they represent, undiluted and diluted. From there you open each shareholder's profile, and a new one is added with "Add Operation" › "New Shareholder".
- Share classes and numbering A class groups the shares that carry the same rights: how many votes they give, their nominal value and whether they have preferences or restrictions. Each share also carries a number, and knowing which numbers belong to whom is what makes it possible to transfer specific shares.
- A shareholder's Transactions tab The Transactions tab on a shareholder's profile lists the operations they have taken part in, with their type, date, amount and the shares that came into or left their position, and below that the dividends they have received. It is their part of each operation, not the whole operation.
- Correct a registered operation For a registered operation you can edit its date, the comments and the notary details, with "Edit" on its record. What defines it, such as the parties, the shares and the numbering, can't be edited. If the mistake is in the last operation, "Undo operation" undoes it and you register it again; if not, it's corrected with another operation.
