Appoint a proxy for a general meeting

If you are not going to attend the general meeting, you can ask someone else to vote for you. You do it from the link in the notice email, in four steps, and sign on the same screen, including on your phone.

Before you start

  • If you are appointing someone who is not a shareholder: their name, their email and their identity document.

Appointing a proxy goes step by step, one question per screen.
  1. Open the link in the email and click "Delegate". You land on the general meeting page, which asks what you are going to do: attend, appoint a proxy or vote.
  2. Choose who. The chair of the meeting, another shareholder who will attend, or someone else. If you choose someone else, Sttok asks for their name, their email and their identity document.
  3. Choose how they vote. "With my instructions" lets you mark for, against or abstain on each item. "Whatever my representative decides" leaves the vote to their judgement.
  4. Review and sign. Sttok shows you a summary of the proxy. Sign in the box with your finger or your mouse, and confirm.

What happens next#

  • The general meeting page now says "Vote delegated to…", with the name of your representative, and "You have delegated your vote, you cannot vote". The proxy appears in the Representation / Proxies tab.
  • The company sees your proxy in its list and your shares count towards the quorum.
  • If you gave instructions, your vote on each item is already decided; if not, your representative will decide it at the general meeting.

Frequently asked questions#

Can I appoint someone who is not a shareholder?

It depends on the company. In a public limited company (S.A.), in principle yes, unless the articles of association restrict it. In a private limited company (S.L.) you can only appoint another shareholder, your spouse, your ascendants or descendants, or someone holding a general power of attorney from you.

What happens if I appoint a proxy without instructions?

Your representative votes on each item as they see fit. Your shares still count towards the quorum of the general meeting.

Do I need to print anything?

No. You sign on the screen and the proxy is stored in Sttok together with the general meeting.
