What the shareholder receives and what they can do
Each shareholder receives the notice by email with a link to their page for the general meeting. From there, including on their phone, they appoint a proxy, vote when voting is open and consult the documents.
On this page
The essentials. The shareholder does not have to look for anything: everything starts with the notice email. A button takes them to the general meeting page, where they see the items and what they can do with them.
The notice email#
It arrives on behalf of Sociedad Ejemplo, S.A. and contains:
- The name of the general meeting and the introductory text written by the company.
- The date, the time, the type of meeting, the attendance method, the venue and, if there is one, the video call address.
- The agenda.
- The "Access the meeting" button, to confirm attendance, vote or consult the documents.
- The "Delegate my vote" button, which opens the proxy form directly.
- The notice as a PDF attachment, if the company has uploaded it.
If they do not respond, they may later receive a reminder with the same buttons.
The general meeting page#
The page is organized into four tabs (below). What the shareholder does happens in the Votes tab:
- While voting is open, the page tells them "You can vote. If you do not vote, it will not be counted". Each item has its own "Vote" button, and with "Vote all yes", "Vote all no" or "Vote all abstain" they vote on all of them at once. This is explained in Vote before or during the general meeting.
- If they have appointed a proxy, the page says "Vote delegated to…", with the name of their representative, and "You have delegated your vote, you cannot vote". How to appoint a proxy is explained in Appoint a proxy for a general meeting.
If the general meeting can be followed online, the video conference link is in the Votes tab, inside "Basic information", which expands and collapses.
The four tabs#
| Tab | What it contains |
|---|---|
| Votes | The "Basic information" of the general meeting and the items on the agenda, with their description. When voting is open, each item has its own "Vote" button, and at the top are "Vote all yes / no / abstain". |
| Representation / Proxies | Their proxy, if they have appointed one. And if they are the one representing others, the "Voting instructions" each of them has left. |
| Documents | The notice and the documents the company has published for the general meeting: accounts, reports, proposals. |
| Multimedia | The recording of the general meeting, if the company uploads it. |
If they represent several shareholders#
If there are several shareholders under the same email (for example, the director of a company that is a shareholder, and the director personally), the "Select shareholder" selector appears at the top. They choose on whose behalf they are acting: each shareholder votes and appoints proxies separately. When voting as a representative, the voting dialog distinguishes the represented shareholders with instructions from those without.
Frequently asked questions#
As an administrator, can I see what a shareholder sees?
Only your own page, if you are also a shareholder. In the Meetings list, each meeting has "View as shareholder", which opens the voting page of the shareholders who share your email: if there is more than one, you choose in "Select shareholder". It cannot be used to see the page of any shareholder.
What does the shareholder see if voting is not open yet?
The items without a vote button. In the meantime they can consult the documents and appoint a proxy.
Can they see documents that are for administrators only?
No. When uploading a document you can tick "Document for administrators only", and that document does not appear on the shareholder's page.
